Terms of Service

1. Acceptance of Terms

By accessing or using Leads Agent Pro ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Account Terms

You must provide accurate and complete registration information. You are responsible for maintaining the security of your account and password. You are responsible for all activity that occurs under your account. You must be at least 18 years of age to use the Service.

3. Acceptable Use

You may use the Service for your own lawful internal business purposes only. You expressly agree not to:

• Resell, sublicense, redistribute, or share any data obtained through the Service with third parties, whether for free or for compensation
• Systematically download, scrape, or bulk-export data for the purpose of building a competing product, dataset, or service
• Use the data to compile or augment mailing lists, databases, or lead lists that are sold or provided to third parties
• Send unsolicited communications in violation of CAN-SPAM, CASL, GDPR, or any other applicable anti-spam or privacy regulation
• Use the Service for harassment, discrimination, or any activity that targets individuals based on protected characteristics
• Attempt to reverse-engineer, decompile, or extract the scoring algorithms, data enrichment methods, or proprietary logic of the Service
• Circumvent rate limits, access controls, or security measures
• Use automated tools (bots, crawlers, scrapers) to access the Service without prior written consent

4. Data License & Restrictions

The Service grants you a limited, non-exclusive, non-transferable, revocable license to access and use the data provided through the platform solely for your own internal business purposes (e.g., identifying and contacting potential customers).

This license does not include the right to:

• Resell, sublicense, or commercially distribute the data in any form
• Create derivative datasets for distribution or sale
• Use the data to train machine learning models for commercial use
• Store data beyond what is reasonably necessary for your active sales pipeline

Violation of these restrictions may result in immediate account termination and may subject you to legal liability.

5. Data Accuracy & Sources

The data provided through the Service is aggregated from publicly available sources including job postings, SEC filings, company websites, news articles, and other public records. We make reasonable efforts to ensure accuracy but do not guarantee that all data is complete, current, or error-free. You are solely responsible for verifying any data before relying on it for business decisions, outreach, or communications. The Service does not provide legal, financial, or professional advice.

6. Intellectual Property

The Service, including its design, code, scoring algorithms, enrichment pipelines, compiled datasets, and all related intellectual property, is owned by Leads Agent Pro and protected by applicable intellectual property laws. You retain ownership of any original content you create using exported data for your own business use, but you do not acquire any ownership rights to the underlying data or platform.

7. Payment & Subscription

Paid plans are billed in advance on a recurring basis. You authorize us to charge your payment method for the applicable fees. Refunds are provided at our sole discretion. We reserve the right to change pricing with 30 days' written notice. Free-tier accounts are subject to usage limits that may change at any time.

8. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. In no event shall Leads Agent Pro be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data, arising from your use of the Service. Our total aggregate liability shall not exceed the amount you paid for the Service in the preceding 12 months, or $100, whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless Leads Agent Pro and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your account immediately, without prior notice, if you violate these Terms. Upon termination, your right to access the Service ceases immediately. You must destroy any data exported from the Service within 30 days of termination. Provisions that by their nature should survive termination (including data restrictions, limitation of liability, and indemnification) shall survive.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes via email or through the Service at least 15 days in advance. Continued use after changes take effect constitutes acceptance of the new terms. If you do not agree to the changes, you must stop using the Service.

12. Governing Law & Disputes

These terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration administered in New York, NY. You waive any right to participate in a class action lawsuit or class-wide arbitration.
